Neoclip - Terms of Service

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use Neoclip. By using the Service, you confirm that you meet this requirement.

2. Description of Service

Neoclip enables users to input a character description, prompt, and product details to generate AI-powered video testimonials. Generated content ("Output") is based on your inputs and our technology.

We are a wholly owned subsidiary of Neoclip. These services are accessible through our website. Our services are intended strictly for research and legal AI creation purposes. We do not condone or promote the use of our services for any illegal or unethical activities, including but not limited to replacing faces of individuals without their express permission or altering the faces of political figures, public officials, or other public figures.

3. User Responsibilities

You are solely responsible for your inputs and use of the Service. You agree that you will not:

• Submit content that is unlawful, defamatory, harassing, hateful, or otherwise harmful.
• Generate or attempt to generate non-consensual, deceptive, explicit, or harmful material.
• Use the Service to impersonate any real person without their express consent.
• Submit content that infringes copyrights, trademarks, publicity rights, or other intellectual property.
• Misuse generated videos in ways that could mislead consumers, including false endorsements.
• Attempt to disrupt, copy, reverse engineer, or exploit the Service.

4. Consent & Likeness

If you submit content that uses the likeness, voice, or identity of any individual (real or fictional), you are responsible for obtaining the necessary rights and permissions. As part of using the Service, you are required to confirm (via checkbox or equivalent) that you have obtained such rights and permissions. You bear full liability for violations.

Neoclip also employs advanced content filtering mechanisms. Any attempts to produce unauthorized or adult content are considered serious violations of our content guidelines and will lead to immediate account suspension to safeguard the integrity of our community. Other legal remedies may be pursued if necessary.

We also respect the rights of individuals who do not wish their likeness to be used on our platform. Anyone may request that their image be removed from generated content or blocked from being used in the future—even if it has never been uploaded or generated before. To do so, you may contact us at support@neoclip.studio.

To help us process such requests, we ask for a clear, front-facing photograph so our system can accurately identify and prevent unauthorized use of your facial features. Without this reference, we cannot verify identity or apply blocking measures.

Your request should include:

• A statement specifying whether you are asking for removal of existing content, prevention of future use, or both
• A clear image of your face for verification purposes

Once confirmed:

• Any existing unauthorized content will be removed from the platform
• Your likeness will be digitally restricted, preventing future uploads, transformations, or generation attempts

5. Ownership of Content

Your Inputs: You retain ownership of the prompts, product descriptions, or other material you submit. You grant Neoclip a worldwide, non-exclusive, royalty-free license to use them solely to provide and improve the Service.

Generated Outputs: Subject to compliance with these Terms, you are granted a non-exclusive license to use generated videos for personal or commercial purposes.

Neoclip Technology: All rights, title, and interest in Neoclip’s platform, software, and models remain with Neoclip.

License & Usage Terms:

Subject to compliance with these Terms and payment of any applicable fees, Neoclip grants you a limited, non-exclusive, non-transferable license to use generated outputs for personal or commercial purposes.

You may not:

• Resell, redistribute, or sublicense Neoclip outputs as your own product or service.
• Use outputs in a way that misleads consumers into believing they depict real people or real events.

All rights not expressly granted are reserved by Neoclip.

6. Data Retention & Privacy

Neoclip may retain your inputs and generated content temporarily to provide the Service. Unless otherwise required by law, we do not permanently store or share your content without consent.

7. Payments & Refunds

Use of certain features may require payment (e.g., credit system, subscriptions).

All purchases are final and non-refundable.

Billing disputes must be raised within 14 days by contacting support at support@neoclip.studio.

Disputes & Chargebacks

If you believe a payment was made in error, you must contact Neoclip at support@neoclip.studio before initiating a chargeback with your payment provider. You agree not to file a chargeback until Neoclip has had an opportunity to resolve the issue. Unauthorized chargebacks may result in suspension or termination of your account.

8. Digital Goods Delivery

Upon successful payment, Neoclip will begin processing your request to generate digital content. Delivery times may vary depending on system demand, input complexity, and other technical factors. You will be notified once your content is available in your account dashboard. Because AI-generated content requires processing and is delivered in a digital format, all sales are final and non-refundable, even in cases of delay or dissatisfaction with the output.

9. AI-Generated Content Disclaimer

Outputs are provided “as is” and may not be accurate, realistic, or factually correct.

Generated videos are artificial creations and do not represent real people or events.

Neoclip does not guarantee quality, reliability, or fitness for a particular purpose.

The Service is not intended for use by individuals under 18 years of age.

10. Intellectual Property & DMCA

You agree not to submit inputs or generate outputs that infringe or violate the intellectual property rights of others, including copyrights, trademarks, and publicity rights. You are solely responsible for ensuring that you have the necessary rights and permissions to use any material in connection with the Service.

DMCA Notices

If you believe your intellectual property has been infringed by content generated or shared through Neoclip, you may file a notice under the Digital Millennium Copyright Act (DMCA) by contacting us at support@neoclip.studio. Please include the following information:

• Identification of the copyrighted work or trademark claimed to have been infringed.
• Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate it.
• Your contact information.
• A statement that you have a good-faith belief that the disputed use is not authorized by the copyright/trademark owner, its agent, or the law.
• A statement, under penalty of perjury, that the information provided in your notice is accurate and that you are authorized to act on behalf of the rights owner.

Neoclip will investigate and respond in accordance with applicable laws.

11. Disclaimer of Liability & Indemnification

The Service and all outputs are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. Neoclip does not warrant that the Service will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, Neoclip will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, business interruption, loss of data, or reputational harm, arising from your use of the Service or outputs.

You are solely responsible for your use of the Service and any outputs generated. You agree to indemnify and hold Neoclip harmless against claims, damages, or legal actions resulting from your inputs, outputs, or violations of these Terms.

12. Service Modifications & Termination

Neoclip may modify, suspend, or discontinue the Service at any time without liability.

We may suspend or terminate your account if you violate these Terms.

We reserve the right to update these Terms, with updates effective upon posting. Continued use constitutes acceptance.

13. Governing Law
